Terms of Service

1. Membership & Fees

1.1 Month-to-Month; At-Will

All memberships are month-to-month and at-will. Nonstop may suspend or terminate access at any time, with or without cause, and with or without notice, in its sole discretion.

1.2 Fees Listed Online; Changes

All membership fees, desk fees, cubicle fees, usage fees, and any other charges are listed on Nonstop's website, platform, or member-facing portal and are incorporated into these Terms by reference. Fees may be modified at any time, with or without notice, in Nonstop's sole discretion. Continued access to or use of the Co-Working Space after any fee change constitutes acceptance of the updated fees.

1.3 Billing; No Refunds

All charges are billed automatically to the payment method on file and are non-refundable, including in cases of non-use, suspension, termination, partial months, or removal for policy violations.

2. Access & Use of Facilities

2.1 Hours

Access is limited to Monday-Friday, 9:00 AM to 6:00 PM, unless otherwise authorized in writing.

2.2 Permitted Use

The Co-Working Space may not be used for any unlawful, disruptive, unsafe, unethical, residential, retail, or unauthorized purpose, or in any manner that interferes with other members or operations.

2.3 Non-Transferability

Memberships, desks, cubicles, access credentials, keys, or codes are personal and non-transferable.

2.4 Right of Entry & Inspection

Nonstop may enter, inspect, relocate, or remove items from any workspace at any time, with or without notice, for safety, compliance, maintenance, or operational reasons.

3. House Rules, Guests & Equipment

3.1 Incorporated Policies

Use of the Co-Working Space is subject to House Rules, Guest Policies, Equipment Rules, and any posted guidelines (collectively, "Policies"), as amended from time to time. All Policies are incorporated into these Terms by reference.

3.2 Guests

Guests are permitted only in accordance with current Policies and remain the sole responsibility of the Member. Members are fully liable for the acts, omissions, damages, and violations caused by their guests.

3.3 Equipment & Property Use

All furniture, desks, cubicles, equipment, internet, utilities, and shared resources are provided as-is and as-available. Use is entirely at your own risk. Nonstop makes no warranties regarding functionality, security, availability, or fitness for any purpose.

4. Surveillance, Safety & Conduct

4.1 Surveillance

The premises may be monitored by video and/or audio surveillance in common areas. By entering the premises, you consent to such monitoring to the maximum extent permitted under Arizona law.

4.2 Removal for Conduct

Nonstop may deny access or remove any individual from the premises for safety concerns, policy violations, disruptive behavior, or operational reasons, without refund.

5. Termination & Abandoned Property

5.1 Termination by Nonstop

Nonstop may terminate or suspend access immediately, with or without cause.

5.2 Termination by Member

Members may terminate with 30 days' written notice. Fees remain due during the notice period.

5.3 Abandoned Property

Any property left on the premises after termination may be deemed abandoned and disposed of without notice or liability, to the fullest extent permitted by Arizona law.

6. Assumption of Risk & Limitation of Liability

6.1 Assumption of Risk

You knowingly and voluntarily assume all risks associated with entering and using the Co-Working Space.

6.2 Limitation of Liability

To the maximum extent permitted by Arizona law, Nonstop is not liable for loss, theft, damage, service interruptions, personal injury, or death occurring on the premises, regardless of cause.

7. Indemnification

You agree to indemnify, defend, and hold harmless Nonstop Real Estate LLC and its members, managers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including attorneys' fees) arising out of your use of the premises, violation of these Terms, or actions of your guests.

8. Changes to Terms

Nonstop reserves the right to modify, update, or replace these Terms at any time. Continued access to or use of the Co-Working Space after changes are posted constitutes acceptance of the revised Terms.

9. Governing Law & Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Exclusive venue for any dispute shall be the state or federal courts located within Arizona.

10. Miscellaneous

• Entire Agreement: These Terms and incorporated Policies constitute the entire agreement
• No Waiver: Failure to enforce any provision is not a waiver
• Severability: Invalid provisions do not affect enforceability of the remainder
• Electronic Notice: Notices may be provided electronically or by posting on-site or online
